These Terms of Use (“Terms”) are a legal agreement between you and Useful Tools LLC, a North Carolina limited liability company (“Useful Tools,” “we,” “us,” or “our”), governing your use of ADHD Notes and its related websites, apps, and services (collectively, the “Service”).
By creating an account, clicking to accept these Terms, or accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
General ADHD Notes accounts are for adults who can form a binding contract. If you use the Service for an employer, school, or other organization, you represent that you have authority to bind that organization to these Terms.
Children under 13 may not create accounts or use the Service. The former student and classroom module is unavailable.
Subject to these Terms, Useful Tools grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended productivity and organization purposes.
The Service is licensed, not sold. Except for this limited license, Useful Tools and its licensors retain all rights in the Service, including its software, design, text, graphics, branding, and other materials.
You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us promptly at calvin@adhd-notes.com if you believe your account has been compromised.
You may not share credentials in a way that defeats account limits or security controls. We may require you to reset credentials or take reasonable steps to protect the Service.
You retain ownership of the tasks, notes, contacts, meetings, imported content, and other content you submit to the Service (“Your Content”). Legacy student test records or wellness entries, if any, remain Your Content and are subject to the Privacy Policy.
You grant Useful Tools a limited, worldwide, non-exclusive license to host, store, reproduce, process, transmit, and display Your Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with your instructions, and meet legal obligations. This license ends when Your Content is deleted from active systems, except for limited retained copies described in the Privacy Policy.
You represent that you have the rights and permissions needed to submit Your Content and that our processing of it as described in these Terms and the Privacy Policy will not violate another person's rights or applicable law. You are responsible for reviewing and backing up important content.
If you provide product feedback, you grant Useful Tools a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation, but we will not publicly identify you as the source without permission.
You may not use the Service to:
AI features may produce inaccurate, incomplete, outdated, or inappropriate results. Output is provided for convenience and is not a substitute for your judgment. You must review important output before using or sharing it.
You are responsible for the content you submit to an AI feature and how you use the output. Do not submit information you are not authorized to disclose. Your use of a provider key you add to Settings is also subject to that provider's terms and privacy policy.
Useful Tools does not guarantee that AI output is unique, accurate, or free from third-party claims. Similar output may be generated for other users.
The student and classroom module and wellness tracker are not offered. You may not use dormant routes, old links, or unsupported interfaces to collect new student or wellness information. Useful Tools may retain dormant data structures only to preserve secure export, deletion, audit, and legal compliance.
ADHD Notes is a productivity and organization tool. It is not a medical device or healthcare service and does not provide medical, psychological, diagnostic, therapeutic, or clinical advice. It is not intended to diagnose, treat, cure, or prevent ADHD or any other condition.
AI output is informational only. Do not use the Service for emergencies or as a substitute for qualified professional care. If you believe someone may be in danger or needs urgent help, contact emergency services or an appropriate professional.
If you affirmatively connect self-text capture, you agree to receive requested ADHD Notes replies at the verified number. If you separately enable text reminders, you agree to receive automated task and nudge reminders. Message frequency varies. Message and data rates may apply. Consent is optional and is not a condition of purchasing or using the Service.
Reply STOP to cancel all ADHD Notes texts or HELP for help. You can also manage reminders or disconnect your number in the Service. Wireless carriers are not liable for delayed or undelivered messages. Useful Tools may keep limited consent, suppression, and delivery records needed to provide the program, honor opt-outs, protect the Service, or comply with law. The Service relies on or may link to third-party services, including hosting, authentication, AI, search, messaging, analytics, app stores, and user-selected providers. Third-party services are governed by their own terms and privacy policies. Useful Tools is not responsible for third-party services, but this does not limit responsibilities that cannot legally be limited.
If we offer paid features, the price, billing period, renewal terms, and material restrictions will be shown before purchase. Purchases made through Apple, Google, or another platform are also governed by that platform's billing and refund rules.
Unless the purchase screen states otherwise, subscriptions automatically renew until canceled through the platform or method used to purchase them. Cancel before renewal to avoid the next charge. Cancellation stops future renewal but does not retroactively refund charges, except where required by law or platform rules.
We may change prices prospectively with notice required by law or the applicable platform. Taxes may apply.
The Service and all related intellectual property are owned by Useful Tools or its licensors. ADHD Notes, Useful Tools LLC, associated logos, and product design elements may be protected by trademark and other laws. You may not remove proprietary notices or use our branding in a way that implies endorsement.
If you believe content in the Service infringes your rights, contact calvin@adhd-notes.com with enough information for us to understand and evaluate the claim.
You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.
We may suspend or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay applicable fees, or used the Service in a way that could harm users or the Service. When reasonable, we will provide notice and an opportunity to address the issue. We may act immediately when needed for security, safety, legal compliance, or to prevent harm.
Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, dispute terms, and accrued payment obligations.
We may add, change, suspend, or discontinue features. We do not promise that the Service will always be available, uninterrupted, secure, or error-free.
We may update these Terms. If a change is material, we will provide notice as required by law. The updated Terms apply prospectively from their stated effective date. If you do not agree to an update, you must stop using the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” USEFUL TOOLS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
USEFUL TOOLS DOES NOT WARRANT THAT THE SERVICE OR AI OUTPUT WILL MEET YOUR NEEDS, BE ERROR-FREE, OR PREVENT DATA LOSS. YOU ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS AND FOR VERIFYING IMPORTANT INFORMATION.
Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you. Nothing in these Terms limits non-waivable consumer rights.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, USEFUL TOOLS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF USEFUL TOOLS AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID USEFUL TOOLS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
These limits apply to all theories of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot legally be limited. Some jurisdictions do not allow certain exclusions or limits, so the limits may apply only to the extent permitted by law.
To the extent permitted by law, you will defend, indemnify, and hold harmless Useful Tools and its owners, officers, employees, and contractors from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from Your Content, your misuse of the Service, your violation of these Terms, or your violation of another person's rights. Useful Tools will provide reasonable notice of a covered claim and may control the defense and settlement. You may not settle a claim in a way that admits fault by or imposes obligations on Useful Tools without our written consent.
This section does not require a consumer to indemnify Useful Tools for Useful Tools' own unlawful conduct or to the extent prohibited by law.
These Terms are governed by the laws of North Carolina, without regard to conflict-of-law rules. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in North Carolina, and you consent to their personal jurisdiction and venue. If applicable consumer law gives you the right to bring a claim elsewhere, that right is not waived.
Before filing a claim, each party agrees to send written notice describing the dispute and allow 30 days for a good-faith effort to resolve it, unless immediate relief is reasonably necessary.
These Terms and the policies they incorporate are the entire agreement between you and Useful Tools about the Service. If a provision is unenforceable, it will be modified only as much as needed, and the rest will remain in effect. Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent. Useful Tools may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
Useful Tools is not liable for delay or failure caused by events beyond its reasonable control. Headings are for convenience only. The words “including” and “such as” mean “including without limitation.”
Notices may be provided in the Service, by email, or by posting an updated document where legally permitted. Electronic communications satisfy legal writing requirements to the extent permitted by law.
